Joan L. Amble

Ms. Amble, 56, joined American Express, a financial services company, in December 2003. Prior to American Express, she served as chief operating officer and chief financial officer of GE Capital Markets, a service business within GE Capital Services, Inc., overseeing securitizations, debt placement and syndication, as well as structured equity transactions. From 1994 to March 2003, Ms. Amble served as vice president and controller for GE Capital Services where she was responsible for technical accounting and the internal control framework and strategy for GE's financial services businesses. Prior to that post, Ms. Amble worked in various GE corporate positions and in 1992 was appointed chief financial officer of GE Capital's Commercial Real Estate business. Prior to joining GE, Ms. Amble worked for the Financial Accounting Standards Board from 1984 to 1989 and Ernst and Young LLP from 1977 to 1984. Ms. Amble is also a director of SIRIUS XM Radio Inc., a satellite radio service company. She received a bachelor's of science in Accounting from The Pennsylvania State University and is a certified public accountant. |

George L. Farinsky

George L. Farinsky has been a director of the Company since February 2002. Mr. Farinsky has been an investor and consultant since he retired as a corporate financial executive in 1991. From 1987 to 1991 he was Executive Vice President and Chief Financial Officer of Ashton-Tate Corporation. Prior to joining Ashton-Tate, Mr. Farinsky held executive management positions at the Bank of British Columbia, Dysan Corporation, Kaiser Resources, Ltd., Kaiser Industries Corporation, Mattel, Inc. and Teledyne, Inc. Mr. Farinsky holds a B.S. in Business Administration from the University of San Francisco and is a Certified Public Accountant licensed in California, but is not engaged in public practice. |

Nancy H. Handel

Nancy H. Handel has been a director of the Company since November 2005. Ms. Handel served as Senior Vice President and Chief Financial Officer (CFO) of Applied Materials Inc., a major supplier of equipment and services to the global semiconductor industry. Named CFO in October 2004, she was an executive with Applied Materials from 1985 to 2006, serving in a variety of key financial leadership positions at the company, including four years as Deputy Chief Financial Officer, Corporate Controller and Principal Accounting Officer, and 13 years as Treasurer. Prior to joining Applied Materials, she held financial management positions at Raychem Corporation, Crown Zellerbach Corporation and The Aviation Group. She currently serves on the Board of the American Leadership Forum of Silicon Valley, a nonprofit organization that brings senior level leaders together to build philanthropy, public service and community in Silicon Valley. Ms. Handel received a B.S. in Economics from Purdue University and an M.B.A. from The Ohio State University, and is a graduate of the Stanford Executive Program. |

Eddy W. Hartenstein

Eddy W. Hartenstein has been a director of the company since June 2008. Mr. Hartenstein, a leading force in the development of modern-day satellite television, has served as DIRECTV's CEO, Chairman, Vice Chairman and President from the company's inception in 1990 until 2004, including as Vice Chairman of The DIRECTV Group, Inc. (formerly Hughes Electronics Corporation) from 2003 to 2004. He also served in senior executive positions at Hughes Communications, Inc., a satellite-based communications provider, and Equatorial Communications Services Company, a provider of telephony and data distribution services. Mr. Hartenstein is a member of the National Academy of Engineering and was inducted into the Broadcasting and Cable Hall of Fame in 2002. He received an Emmy® Award for lifetime achievement from the National Academy of Television Arts and Sciences in 2007. Mr. Hartenstein earned B.S. degrees in Aerospace Engineering and Mathematics from California State Polytechnic University at Pomona, California, and an M.S. in Applied Mechanics from the California Institute of Technology in Pasadena, California. |

John E. Major

John E. Major has been a director of the Company since January 2003, and in May 2008 he was named non-executive Chairman of the Board of Directors. In January 2003 he founded MTSG, a strategic consulting and investment company. From August 2000 until January 2003, Mr. Major served as the Chairman and Chief Executive Officer of Novatel Wireless, Inc., a wireless data access solutions company. Prior to August 2000, he was the founder and Chief Executive Officer of the Wireless Internet Solutions Group, a strategic consulting firm. From November 1998 to November 1999, Mr. Major was Chairman and Chief Executive Officer of Wireless Knowledge, a joint venture of Qualcomm Incorporated and Microsoft Corporation. From May 1997 until November* 1998, he served as President of the Wireless Infrastructure Division of Qualcomm. Prior to that, for approximately 18 years, he held various positions at Motorola, Inc., the most recent of which was Senior Vice President and Chief Technology Officer. Mr. Major currently serves as a director of three other public companies: Lennox International, Inc., Littelfuse Inc. and ORBCOMM Inc. Mr. Major received a B.S. in Mechanical and Aerospace Engineering from the University of Rochester, an M.S. in Mechanical Engineering from the University of Illinois, an M.B.A. from Northwestern University and a J.D. from Loyola University. |

Scott A. McGregor

President and Chief Executive Officer Scott McGregor is the President and Chief Executive Officer of Broadcom. In this role, he is responsible for guiding the strategic direction of the company, business development and day-to-day operations. Mr. McGregor, who is also a member of the Board of Directors, joined Broadcom in January 2005 after serving since September 2001 as President and CEO of the Philips Semiconductors division of the Netherlands-based Royal Philips Electronics, At Philips, Mr. McGregor oversaw one of the world's largest semiconductor suppliers, with 34,000 employees in over 50 countries and nearly US$6 billion in sales in 2004. In addition to his CEO role, he was also a member of the Group Management Committee of Royal Philips Electronics. He joined Philips Semiconductors in February 1998 as head of its Emerging Business unit, focusing on fast growing markets for smart cards, RFID, networking, digital media processing and computing, and leading the group to profitability and nearly US$1 billion in sales. Before joining Philips, from 1990 to 1998 Mr. McGregor served in various senior management positions, most recently as Senior Vice President and General Manager, at Santa Cruz Operation Inc. (SCO), a provider of network computing solutions. From 1985 to 1990 he served in senior positions at Digital Equipment Corporation (now part of HP) where he led the UNIX workstation software group and was one of the architects of the X Window System. Prior to joining Digital Equipment Corporation, he worked at Microsoft, where he was the Director of the Interactive Systems Group and the architect and development team leader of the original version of Microsoft® Windows®. Prior to Microsoft, Mr. McGregor spent over six years in various positions at the Xerox Corporation's Palo Alto Research Center (PARC), where he was involved in designing software for the first personal computers employing graphical user interfaces. Mr. McGregor received a B.A. in Psychology and a M.S. in Computer Science and Computer Engineering from Stanford University. |

William T. Morrow

William T. Morrow has been a director of the company since June 2008. Mr. Morrow joined PG&E in 2006 as President and Chief Operating Officer, and became Chief Executive Officer in 2007. Prior to PG&E, he served in a number of senior executive positions at international mobile communications group Vodafone Ltd. and Vodafone Group PLC, including Chief Executive Officer of Vodafone, Europe, and President of Vodafone KK in Japan. Mr. Morrow also served in senior executive positions in Europe and Japan for wireless telecommunications carrier Airtouch International, including a Brussels-based assignment as Chief Technology Officer for Airtouch's Belgacom Mobile-Proximus. Mr. Morrow is a veteran of the U.S. Navy and a graduate of Condie College and National University in San Diego, California, where he received B.S. degrees in Electrical Engineering and Business Administration, respectively |

Robert E. Switz

Robert E. Switz has been a director of the Company since June 2003. Mr. Switz is Executive Vice President and Chief Financial Officer of Minneapolis-based ADC Telecommunications, Inc., a $1.1 billion supplier of transmission and network systems for voice, data, video and wireless services. Mr. Switz, who is also a member of ADC's Office of the Chairman, has served as ADC's Chief Financial Officer since 1994, and was President and Chief Executive Officer of ADC's Broadband Access and Transport Group from 2000-2001. From 1988 to 1994, Mr. Switz was Chief Financial Officer of Burr-Brown Corporation, a Tucson-based manufacturer of precision microelectronics and systems products that is now part of Texas Instruments Incorporated. In addition to serving as Chief Financial Officer, he served Burr-Brown in several other senior executive capacities, including Vice President of European Operations, Ventures and Finance, where he oversaw manufacturing, product design, sales and marketing for nine European subsidiaries. Prior to joining Burr-Brown, Mr. Switz worked in executive finance positions at several other private and public companies including Gulfstar Incorporated (acquired by Viking Corporation in 1987), PepsiCo Inc., AMF Inc. and Olin Corporation. Mr. Switz currently serves as a director of publicly-traded Hickory Tech Corporation. Mr. Switz received a B.S. in Marketing and Economics from Quinnipiac University and an M.B.A. in Finance from the University of Bridgeport. |
